3. “Services” means all data analytics, survey services, financial consulting, project management, and related solutions provided by Circular Dimension.

2. Use of Our Services

1. You agree to use our services only for lawful purposes and in compliance with applicable laws in Kenya and internationally.
2. You must provide accurate information when engaging with us.
3. We reserve the right to refuse or terminate services if these Terms are violated.

3. Intellectual Property

1. All content, tools, designs, reports, and materials created by Circular Dimension remain our property unless otherwise agreed in writing.
2. Clients may use deliverables (dashboards, reports, insights) solely for internal business purposes.
3. No part of our intellectual property may be copied, sold, or redistributed without permission.

4. Confidentiality & Data Protection

1. Both parties agree to maintain the confidentiality of sensitive business, financial, or personal data.
2. We handle data in line with the Kenya Data Protection Act, 2019 and international best practices.
3. Clients remain responsible for ensuring they have the right to share data with us.

5. Payment & Fees

1. Fees will be communicated in proposals, contracts, or invoices.
2. Payments must be made to Circular Dimension’s official account(s) within the agreed timelines.
3. Late payments may attract interest or suspension of services.

6. Limitation of Liability

1. Circular Dimension provides services on a professional “best efforts” basis.
2. We are not liable for indirect, incidental, or consequential losses resulting from the use of our services.
3. Our maximum liability, if any, shall not exceed the amount paid for the specific service.

7. Third-Party Tools & Links

1. Our services may integrate with third-party platforms (e.g., survey software, analytics tools).
2. We are not responsible for the content, accuracy, or policies of third-party providers.

8. Termination

1. Either party may terminate services with written notice.
2. Circular Dimension may suspend or terminate services immediately for breach of these Terms.

9. Governing Law

1. These Terms are governed by the laws of Kenya, without prejudice to applicable international laws where relevant.
2. Disputes will first be resolved through negotiation, and if unresolved, referred to arbitration in Nairobi in accordance with Kenyan law.

10. Changes of Terms

1. Circular Dimension reserves the right to update these Terms.
2. Updates will be posted on our website with the “Last Updated” date.
